1. Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “your”, or “Customer”) and Vigil-Cyber (“we”, “us”, “our”, or “Company”) governing your access to and use of the VigilSentinel platform, website, APIs, and all related services (collectively, the “Services”).
By creating an account, accessing, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
2. Description of Services
VigilSentinel is an enterprise security monitoring and management platform. Our Services include, but are not limited to:
- Network vulnerability scanning and assessment
- Application security scanning
- Security information and event management (SIEM)
- File integrity monitoring (FIM)
- Endpoint detection and response (EDR)
- Compliance monitoring and reporting
- Managed detection and response (MDR) services
- Cybersecurity training, consultancy, and professional services
3. Access & Licensing
VigilSentinel may be offered in two ways: (a) Cloud — we host the platform and you create an organisation account to use it; (b) Installation — you install and run the software on your own infrastructure under a separate licence agreement. Your rights and our obligations may vary depending on how you access the Services. Where you use a licensed installation, you must comply with the licence terms provided to you and may not use the Services beyond the licensed scope (e.g. organisation, domain, or installation limits).
4. Account Registration & Security
To access the Services, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain the security and confidentiality of your login credentials
- Promptly notify us of any unauthorised access to your account
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk to our platform or other users.
5. Acceptable Use
You agree to use the Services only for lawful purposes. You shall not:
- Use the platform to scan, probe, or test systems you do not own or have explicit written authorisation to assess
- Attempt to gain unauthorised access to our systems, other user accounts, or third-party networks
- Use the Services to develop, distribute, or deploy malware, exploits, or attack tools
- Reverse-engineer, decompile, or disassemble any part of the platform
- Resell, sublicense, or redistribute access to the Services without our written consent
- Interfere with or disrupt the integrity or performance of the Services
- Use the Services in any manner that violates applicable local, national, or international laws
6. Scanning & Assessment Services
By initiating any scan through the platform, you represent and warrant that:
- You own or have explicit written authorisation to scan the target systems, networks, and applications
- You understand that scanning may generate network traffic and, in rare cases, affect system performance
- You accept full responsibility for any consequences arising from scans you initiate
- You will comply with all applicable laws and regulations governing security testing in your jurisdiction
Vigil-Cyber is not liable for any disruption, damage, or data loss resulting from scans initiated by you against your own systems or systems you are authorised to test.
7. Intellectual Property
The Services, including all software, algorithms, designs, documentation, trademarks, and content, are the exclusive property of Vigil-Cyber and are protected by intellectual property laws.
- Our IP: You are granted a limited, non-exclusive, non-transferable licence to use the Services during the term of your subscription. This licence does not convey ownership of any intellectual property.
- Your Data: You retain all ownership rights to data you upload or generate through the Services. We claim no ownership of your scan results, reports, or configurations.
8. Subscription & Payment
- Access to certain features may require a paid subscription
- Subscription fees are billed in advance on a monthly or annual basis as specified at the time of purchase
- All fees are non-refundable unless otherwise stated or required by applicable law
- We reserve the right to modify pricing with 30 days’ written notice
- Failure to pay may result in suspension or termination of access to the Services
9. Service Availability & Support
We strive to maintain high availability of the Services but do not guarantee uninterrupted access. Scheduled maintenance, updates, and unforeseen technical issues may result in temporary downtime. We will make reasonable efforts to notify you in advance of planned maintenance.
Support is provided in accordance with your subscription tier. Managed service and enterprise customers receive priority support as outlined in their service agreement.
10. Confidentiality
Both parties agree to treat as confidential any non-public information disclosed during the use of or engagement with the Services. This includes, but is not limited to, scan results, vulnerability findings, system configurations, and business information. Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory
- Vigil-Cyber shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services
- Our total aggregate liability for any claims related to the Services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim
- We do not warrant that scan results are exhaustive or that all vulnerabilities will be detected
12. Indemnification
You agree to indemnify, defend, and hold harmless Vigil-Cyber, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your use of the Services
- Your violation of these Terms
- Scans or assessments you initiate against systems without proper authorisation
- Your violation of any applicable law or third-party rights
13. Termination
Either party may terminate this agreement at any time. We may suspend or terminate your access to the Services immediately, without prior notice, if:
- You breach any provision of these Terms
- Your use of the Services poses a security risk to the platform or other users
- Continued provision of Services becomes impractical or unlawful
Upon termination, your right to access the Services ceases immediately. You may request export of your data within 30 days of termination, after which we may delete it.
14. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Vigil-Cyber is incorporated, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the exclusive jurisdiction of the courts in our principal place of business.
15. Changes to These Terms
We may revise these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. For significant changes, we will provide additional notice via email or an in-platform notification. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
